What is the Delaware Court of Chancery?

The Delaware Court of Chancery, which was created in 1792, is one of three courts named in the State Constitution along with the Supreme and Superior Courts, according to the court’s official website. Because it permits more flexible resolutions than the law legally permits, it is characterized as a court of equity rather than a court of law.

The court was chosen by Twitter, which filed the 62-page lawsuit against Musk, as the social media company was incorporated here in the year 2007 and because the court has substantial experience in business disputes. The court is made up of one chancellor and six vice-chancellors and frequently hears cases related to wills, adoptions, and divorces, among others.

“There are more than 1.8 million corporations registered in Delaware, with the First State adding more than 336,000 business entities to its ranks in 2021 alone,” claims the Delaware Division of Corporations.

Musk will not be fighting a commercial dispute in this court for the first time. He won a shareholder lawsuit earlier this year, alleging that he forced Tesla Inc. to purchase SolarCity for $3 billion. Musk was the largest shareholder and the board chairman of SolarCity.

According to earlier reports, Musk wished for the testing to begin in February 2023. Twitter, who requested a shorter time frame, was successful. The trial will now start in October of this year and last for five days. The precise dates have not yet been made public.
